Agility clears an SEC filing step. Digit is still not a home robot.

The SEC has made the Agility-Churchill XI registration statement effective, but shareholders still must vote and the proposed deal does not change Digit’s industrial focus.

What they saidChurchill XI has set a meeting date of November 2, 2026 for its extraordinary general meeting to approve the proposed business combination and related matters.Agility Robotics

Agility Robotics has cleared a procedural step toward becoming a public company: the U.S. Securities and Exchange Commission declared effective the registration statement for its proposed combination with Churchill Capital Corp XI. The companies have set a shareholder meeting for Nov. 2. That is a real event, but it is not a completed merger, a Digit delivery milestone, or evidence that a home humanoid is around the corner.

Agility’s Oct. 13 announcement says the company expects the combined business to trade as AGLT after closing. The important word is after: the vote and other closing conditions remain. For someone watching household robots, the immediate practical change is none. Digit remains a work-focused humanoid program.

What they said

Agility and Churchill said the SEC declared their joint Form S-4 registration statement effective on Oct. 13. Churchill shareholders are scheduled to consider the proposed business combination at an extraordinary general meeting on Nov. 2. Agility says the transaction is expected to close in November, subject to the vote and customary closing conditions.

The company describes the proposed proceeds as more than $620 million gross, including Churchill trust cash assuming no shareholder redemptions and a PIPE investment led by Foxconn. Agility says it intends to use the money to fulfill existing customer orders, expand deployments, scale Digit 5 production, and keep investing in its hardware, software, safety systems, and manufacturing. Those are stated plans, not completed outcomes.

What is verified

The SEC effectiveness date and the scheduled Nov. 2 vote are documented in the companies’ public materials. A Churchill Form 425 communication likewise says the transaction will be submitted to shareholders and that the definitive proxy statement/prospectus has been distributed.

Agility also has a real industrial track record. Its announcement points to deployments and agreements with Schaeffler, GXO, and Toyota Motor Manufacturing Canada, and describes Digit 5 as a next-generation robot intended for work near people. That industrial focus is consistent with the company’s public direction.

A registration statement becoming effective is not an SEC endorsement of a robot’s performance. It means the disclosure document can proceed to the shareholder-vote stage. It does not confirm the merger will close, establish a final public-market valuation, or make the projected cash available on the terms described.

What is missing

We do not yet have a completed transaction, a shareholder vote result, or evidence that AGLT is trading. We also do not know the ultimate proceeds after redemptions, whether all stated conditions will be met, or how quickly any capital becomes usable for production.

The filing step does not add a consumer order page, a household price, verified consumer deliveries, or an open-ended in-home task record for Digit. Agility’s current language centers on commercial customers and industrial workflows. Its Digit 5 timing remains a company target: early-access customer availability in early 2027 and general availability by the end of 2027.

What it means for a home robot

Public-market funding can matter to a robot maker because manufacturing, fleet support, and safety validation are expensive. If the proposed transaction closes, Agility would have another route to capital for its industrial program. That may affect how fast Digit gets tested and deployed at work sites.

But a financing milestone is not a household capability milestone. A useful home robot still needs reliable perception, manipulation, navigation, safety around people, and recovery from the untidy situations that do not appear in a factory task definition. Nothing in this week’s filing changes that test.

For now, treat the news as a corporate-process update with a clear next checkpoint: the Nov. 2 shareholder vote. It is a promise about a proposed transaction, not a shipped product announcement and not proof that Digit can take over household chores.
